Terms and Conditions for Vendors

Overview

The following document describes the Terms and Conditions between faircollective and our vendors. Throughout the site, the terms “we”, “us” and “our” refer to faircollective. The term “you” refers to our vendors.

By accepting our Terms and Conditions for Vendors (“Terms and Conditions for Vendors”, “Vendor Terms”) you agree to be bound by the following terms and conditions, including our general Terms and Conditions and general Privacy Policy referenced below:

General conditions

By agreeing to these Vendor Terms, you represent that you are at least 18 years of age. If you’re using faircollective on behalf of a business or individual, you agree that you’re authorized by them to act and agree to these Terms on their behalf.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Vendor Terms.

Our Service

We promote and offer for sale third party vendor products through our site and mobile platforms (“faircollective platforms”).

We have absolute and total editorial control over which of your products will be listed on faircollective platforms and what product information and content will be displayed to describe and market your products. It is entirely up to us in which collections and context (including recommendations) your products will be displayed and how they will be ranked in lists (including search).

Your Content

By installing our integration app you authorized us to access information of your store according to the permissions listed during the installation process. You can see the exact details about what data you granted us access to, by installing our integration app, in the “Apps and sales channels” section under the faircollective app.

By agreeing to these Vendor Terms, you grant us and a worldwide, non-exclusive and royalty free license to at any time and without restriction and compensation use your data and content as follows:

  • Access and download your data via the API of your online shop
  • Store your data on our servers
  • Use order/customer data for statistical purposes and to charge a commission in the future, starting earliest October 2023, the rate will be identified and communicated.
  • Use order/customer data for marketing purposes
  • Access, edit, copy, publish, distribute, translate and use any product information and content (including image, video and other assets) to promote your products on faircollective. We are and shall be under no obligation to maintain your product data in confidence.
  • Use your Marks and Logos on the faircollective platforms.

Your Responsibilities

You agree to only list products on the faircollective platforms you are legally allowed to and to only share content with us you hold the copyright yourself or you are otherwise legally entitled to share with us. No product or content provided to us may infringe the intellectual property rights of any third party or otherwise violate the rights of any third party.

You further agree to not share any illegal, fraudulent, inappropriate content, including adult-oriented content, dangerous or derogatory content, shocking, animal cruelty, spam, malware and phishing with us and in case of violation of the following rule you are solely responsible and we may take respective measures from our side. In addition to this, information and content which you share with us needs to be up to date. You also shall comply with all applicable legal requirements, including, without limitation, laws relating to advertising, the internet, privacy and unfair business practices.

As the purchase transactions will happen on your online shop (checkout process), it is your full responsibility to keep customer data safe and handle all of this data (incl. billing and account information) appropriately.

You are responsible for a timely fullfillment of the orders and are liable for any shipping problems, returns and the products quality to match what has been advertised.

You are liable for any problems, issues or injuries caused by the sold product.

Contract Termination

Either party may terminate the agreement without liability in any circumstances to the other.

The contract will be terminated:

  • on a written notice request by you.
  • on a written notice request by us.
  • if you uninstall our integration app and are not communicating with us otherwise we consider the contract terminated after a waiting period of 14 days.

You acknowledge that faircollective may need up to 48 hours to de-list your products. All data you provided to us and is not legally required or relevant for us to keep, will be deleted within 30 days after your termination request.
